Draft for the pilot, pending legal review.
1. Agreement
These Terms of Service (“Terms”) are an agreement between you and Callstrix (“Callstrix”, “we”, “us”). They govern your use of the Callstrix website, apps and services (the “Service”). By creating an account or using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.
If you use the Service for a business, you confirm that you have authority to accept these Terms on its behalf, and “you” includes that business.
2. Eligibility
You must have reached the age of majority where you live and be able to form a binding contract. The Service is intended for business use.
3. Your account
Give accurate information and keep it current. Keep your password private and use one you don’t use elsewhere. You’re responsible for activity under your account. Tell us promptly at the address below if you believe your account has been compromised.
Each account can belong to one business at a time.
4. Workspaces and team members
The person who creates a business workspace is its owner. Owners and administrators they authorize can invite people, set their roles and remove access. The business is responsible for who it invites, the access it grants and their use of the Service.
5. Pilot
Callstrix is offered as a free pilot. Features may change, be limited or be removed, and the pilot may end. We don’t offer service-level or uptime commitments: calls can go unanswered and messages can be missed, so keep another way for customers to reach you.
Callstrix is not an emergency service. Callers are told to hang up and dial 9-1-1 in an emergency.
Transcripts and summaries are automatic and can be wrong. Check names, numbers and details before relying on them.
6. Your callers
You’re responsible for using the Service lawfully with your callers, including telling them where required that calls are answered by an automated assistant and messages are transcribed, and for any consent your location or industry requires. Callers hear a standard disclosure; it doesn’t replace your own obligations.
7. Acceptable use
You agree not to:
- break any law, or infringe anyone’s rights, including privacy and intellectual property rights;
- send spam or unsolicited messages, or invite people without a legitimate reason;
- access accounts or data you aren’t authorized to access, or share your sign-in with others;
- probe, scan or test the Service’s security, or interfere with its operation, without our written permission;
- copy, resell, reverse engineer or build a competing service from the Service, except where the law allows;
- use automated means to access the Service in a way that places an unreasonable load on it.
8. Your content
You keep ownership of the information you add to the Service, such as business details and team information (“Your Content”). You give us permission to host, copy, process and display Your Content only as needed to provide, secure and improve the Service.
You’re responsible for Your Content and for having any consent required to add personal information about other people.
9. Privacy
We handle personal information in line with applicable Canadian privacy law, including the Personal Information Protection and Electronic Documents Act (PIPEDA).
We use service providers to handle calls, host data, send email and summarize messages. Some are located outside Canada, including in the United States and the European Union, so information may be processed and stored there and be subject to those countries’ laws. Our Privacy Policy at /privacy lists them and explains how long we keep information.
10. Emails from us
We send emails needed to run your account, such as confirmations, invitations, password and security notices, and welcome messages. These are part of the Service.
11. Fees
The Service is currently free while in development. If we introduce fees, we’ll tell you in advance and you can choose whether to continue.
12. Our property
The Service, including its software, design and the Callstrix name and logo, belongs to Callstrix and its licensors. These Terms don’t give you any rights to them except to use the Service as these Terms allow.
If you send us feedback or suggestions, we may use them without obligation to you.
13. Suspension and closing your account
You can stop using the Service at any time. We may suspend or end your access if you breach these Terms, if we must to comply with the law, or to protect the Service or other users. Where reasonable, we’ll give notice first. We may also discontinue the Service; if we do, we’ll give reasonable notice where we can.
14. Disclaimers
To the extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We don’t promise the Service will be uninterrupted, error-free or always available.
15. Limitation of liability
To the extent permitted by law, Callstrix won’t be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and CAD $100.
Nothing in these Terms limits liability that can’t be limited by law.
16. Indemnity
If you use the Service for a business, that business will compensate us for reasonable claims, losses and costs arising from its breach of these Terms or misuse of the Service.
17. Changes to these Terms
We may update these Terms. For significant changes, we’ll give notice in the Service or by email before they take effect. If you keep using the Service after changes take effect, you accept the updated Terms.
18. Governing law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. You and we agree to the jurisdiction of the courts of Alberta, unless the law where you live gives you the right to bring a claim elsewhere.
19. General
If any part of these Terms can’t be enforced, the rest stays in effect. Not enforcing a term isn’t a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a reorganization or sale of the Service. These Terms are the entire agreement between you and us about the Service.
20. Language
These Terms are available in English and French, and both versions are equally authoritative. If you are in Quebec and accepted the English version, you confirm that the French version was presented to you first and that you chose to be bound by the English version.
